Terms of Service

1. Acceptance of these terms

These Terms of Service (the “Terms”) govern your use of the Repik loyalty platform operated by [ENTITY_NAME](“Repik,” “we,” or “us”). By creating an account, onboarding a business, or otherwise using the service you agree to be bound by these Terms. If you do not agree, do not use the service.

If you are accepting these Terms on behalf of a business entity, you represent that you have authority to bind that entity and that the entity is your “Business” under these Terms.

2. The service

Repik is a cross-border digital loyalty platform. Repik enables a Business to replace paper stamp cards with NFC taps, QR codes, and native wallet passes (Apple Wallet and Google Wallet), and to track stamp-and-redeem activity for that Business’s own end customers.

Features, pricing tiers, and service limits may change. We will provide at least 30 days’ notice for material reductions to features included in a paid tier.

3. Accounts and eligibility

  • You must be at least 18 years old to create a Business account.
  • You are responsible for keeping your login credentials confidential and for all activity under your account.
  • You must provide accurate business information (legal name, address, contact phone, and tax ID where applicable) and keep it current.
  • You may not create an account for, or operate on behalf of, a business you are not authorized to represent.

4. Pilots, subscriptions, and fees

Repik offers free pilots and paid subscription tiers (Free, Pro, Premium). The features, customer caps, and prices of each tier are published on getrepik.com and referenced in the Business dashboard. Pricing is quoted in USD for U.S. Businesses and MXN for Mexican Businesses.

[TBD by counsel] Specific payment terms — billing period, automatic renewal, late payment, refund and dispute policies, and applicable taxes — must be reviewed and finalized with counsel before automated billing is enabled. Until then, pilot Businesses are invoiced manually under a separate pilot agreement.

5. Acceptable use

You agree not to:

  • Use Repik for any unlawful purpose or to send unsolicited communications.
  • Attempt to reverse-engineer, probe, or interfere with the service.
  • Use Repik to collect end-customer personal data for any purpose unrelated to that customer’s own loyalty program participation.
  • Misrepresent your identity or your authority to act on behalf of a business.
  • Transmit malware, or use Repik as a vector to exploit third parties (Apple, Google, payment processors, SMS carriers).

6. Business data and end-customer data

When a Business uses Repik, two categories of personal data are processed:

  • Business data — information you submit about the Business and its staff (name, email, phone, address, logo, tax ID). Repik is a controller of this data.
  • End-customer data— information about the Business’s own customers (phone number if provided, stamp progress, redemption history). Repik is a processor of this data on behalf of the Business. The Business is the controller and is responsible for providing its end customers with any notices or consents required by applicable privacy law.

The Data Processing Addendum (“DPA”) forms part of these Terms. For Mexican Businesses, our compliance posture under the Ley Federal de Protección de Datos Personales en Posesión de los Particulares (“LFPDPPP”) is described in the Privacy Policy.

7. Intellectual property

Repik owns all rights in the platform, including software, dashboards, pass templates, and documentation. We grant the Business a non-exclusive, non-transferable license to use Repik during the term of the subscription. The Business retains all rights in its logos, brand assets, and end-customer data.

8. Third-party services

Repik integrates with third-party services (including Apple Wallet, Google Wallet, Vercel, Neon, Upstash, Twilio, Stripe, Conekta, and Facturapi). Your use of those services is governed by their respective terms. We are not responsible for outages, changes, or policy decisions made by third parties.

9. Suspension and termination

We may suspend or terminate an account for non-payment, material breach of these Terms, or reasonable suspicion of fraud. A Business may terminate at any time by closing the account in Settings; paid subscription fees are non-refundable except where required by law.

Upon termination we will, within 30 days, delete Business data and end-customer data, except backups retained for disaster recovery, which are purged on a rolling schedule described in the DPA.

10. Disclaimers

Repik is provided “as is” and “as available.” We disclaim, to the maximum extent permitted by applicable law, all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error free.

11. Limitation of liability

To the maximum extent permitted by applicable law, Repik’s aggregate liability under these Terms for any claim is limited to the amount the Business paid us in the 12 months preceding the event giving rise to the claim. Repik is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost goodwill.

[TBD by counsel] Some jurisdictions do not allow exclusions or limitations of certain damages; the above limitations apply to the fullest extent permitted and should be adjusted for each jurisdiction before use.

12. Indemnification

The Business will indemnify and hold Repik harmless from any third-party claim arising out of (a) the Business’s breach of these Terms, (b) the Business’s end-customer data or loyalty program content, or (c) the Business’s violation of law. This section does not limit any statutory rights the Business cannot waive.

13. Governing law and venue

For Businesses registered in the United States, these Terms are governed by the laws of the State of California without regard to its conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the state and federal courts located in San Diego County, California.

For Businesses registered in the United Mexican States, these Terms are governed by the laws of the Estados Unidos Mexicanos, and the parties submit to the exclusive jurisdiction of the competent courts in Tijuana, Baja California.

14. Changes

We may update these Terms from time to time. If we make material changes we will notify you by email and in the dashboard at least 30 days before the change takes effect. Continued use of Repik after the effective date constitutes acceptance of the updated Terms.
